利用規約

■ 総則

本製品、およびそのサービスをご利用の際には、テクノホライゾン株式会社 (以下、当社といいます。) が定める規約 (以下「本規約」といいます。) の内容に従ってご利用下さい。
また、サービスのご利用をもって以下の内容をご承諾いただいたものとみなします。
当社は、本規約を追加・変更・削除（以下、総称して「変更等」といいます。）することがあります。当社が変更等を行う場合は、１４日以上の予告期間をおいて、変更後の利用規約の内容及び効力発生日を本ページにてユーザーに周知するものとします。
効力発生日後のサービス提供条件は、変更等した後の利用規約に従います。

本製品を利用した情報の保存や複製、その他ユーザーによる任意の利用方法により必要な法的権利を有しているか否か、著作権、秘密保持、名誉毀損、品位保持および輸出に関する法規、その他法令上の義務に従うことなど、ユーザーご自身の責任において行っていただきますようお願いいたします。
当社の損害賠償責任は、当社に故意または重過失がある場合を除き、お客様から受領済みの利用料相当額を上限とします。

■ ご利用上の注意

本製品におけるサービスの保守（緊急的な保守を含む。）のため、事前の通知なしにサービスを停止することがあります。
ユーザーは、本製品を用いてコンテンツを閲覧、検索、表示、またはダウンロードすることができます。入手できるコンテンツと利用できる機能は国によって異なり、すべてのコンテンツまたは機能がユーザーの所在国で利用できるとは限りません。
ユーザーは、ELMO Playを用いて第三者が作成したアプリケーションをユーザーご自身の責任においてインストールすることができます。そのアプリケーションによる本製品の故障、情報の流出、法律、法令もしくは条例に違反する行為など、いかなるトラブルや損失、損害に対して弊社は責任を負いません。
本製品にプレインストールされている各アプリケーションは、そのシステム要件に対して最適なバージョンを選択しているため、更新することができません。
ユーザーは、アカウント情報を安全に保管し、それを他者と共有してはなりません。また、ELMO Play を通じて他のサービス利用者の個人データ（アカウント名を含む）を収集することは禁止されています。

■ アクセス解析について

本製品は、各機能の使用回数などの履歴情報を収集しております。
この目的はサービス改善のためのみであり、個人を特定するものではありません。
この機能は本製品の設定メニューから無効にすることができます。

■ 商標・ライセンスについて

HDMI、High-Definition Multimedia interface は、HDMI Licensing LLC の商標または登録商標です。
Windows、またはその他のマイクロソフト製品の名称および製品名は、米国 MicrosoftCorporation の米国およびその他の国における商標または登録商標です。
Google、Google Chrome、Android は、Google Inc.の登録商標です。
Miracast は、Wi-Fi Alliance 商標または登録商標です。
QR コードは、デンソーウェーブの登録商標です。
その他、本書に記載されている会社名、製品名は、各社の商標または登録商標です。
本製品は、AVC Visual Patent Portfolio License（以下、AVC Video）に基づきライセンスされており、個人的かつ非営利目的においてのみ使用することが認められています。

個人的かつ非営利的活動目的で記録された AVC Video を再生する場合
MPEG-LA, LLC よりライセンスを受けた提供者により提供された AVC Video を再生する場合
プロモーション、営利目的などで使用する場合には、米国法人MPEG-LA, LLC にお問い合せください。

■ プライバシーポリシー

プライバシー情報のうち「個人情報」とは、個人情報保護法にいう「個人情報」を指すものとし、生存する個人に関する情報であって、当該情報に含まれる氏名、連絡先その他の記述等により特定の個人を識別できる情報を指します。
プライバシー情報のうち「履歴情報および特性情報」とは、上記に定める「個人情報」以外のものをいい、ご利用いただいたサービスやご利用日時、ご利用の方法、ご利用環境、ユーザーのIPアドレス，クッキー情報，位置情報，端末の個体識別情報などを指します。
本製品は、Googleアカウントへのログインが必要な機能をご利用になる際にメールアドレスなどの個人情報を収集します。
本製品は、ユーザーについて、利用したサービスや利用日時、利用方法、利用環境、IPアドレス、クッキー情報、位置情報、端末の個体識別情報などの履歴情報および特性情報を、ユーザーが当社や提携先のサービスを利用しまたはページを閲覧する際に収集します。
本製品で収集したプライバシー情報は、Google Apps（TM）サービスを簡単にご利用いただくために利用しています。
本製品で収集したプライバシー情報は、本製品のサービス向上のために利用しています。
当社は、（1）法令に基づく場合、（2）人の生命、身体または財産の保護のために必要がある場合であって、本人の同意を得ることが困難であるとき、（3）国の機関もしくは地方公共団体またはその委託を受けた者が法令の定める事務を遂行することに対して協力する必要がある場合であって、本人の同意を得ることにより当該事務の遂行に支障を及ぼすおそれがあるときを除いてあらかじめユーザーの同意を得ることなく、第三者に個人情報を提供することはありません。
ただし，個人情報保護法その他の法令で認められる場合を除きます。

■ 準拠法、裁判管轄

本規約の成立、効力発生、解釈にあたっては日本法を準拠法とします。
また、当社のサービス（掲載内容や広告などを含む）、ソフトウエアに起因または関連して当社とユーザーとの間で生じた紛争については名古屋地方裁判所を第一審の専属的合意管轄裁判所とします。

■ 禁止事項

本製品のご利用に際し、次の行為をしてはならないものとします。

第三者もしくは当社の名誉もしくは信用を毀損する行為。
コンピュータウィルス等有害なプログラムを使用もしくは提供する行為、又はその恐れのある行為。
法律、法令もしくは条例に違反する行為、又はその恐れのある行為。
ELMO Play から入手したコンテンツを第三者に販売、賃貸、リース、再配布、放送、送信、通信、変更、サブライセンス、移譲、または譲渡する行為。
ストリーミング形式で提供されるコンテンツのコピーを作成する目的で、コンテンツをストリーム、リッピング、ストリーム、キャプチャなどのソフトウェアと組み合わせて使用すること。
コンテンツの保護、難読化、またはそれらのアクセスを制限するセキュリティ機能やコンポーネントの回避、無効化、排除を試みる行為。また、他者によるそれらの行為を補助、許可、助長する行為。
その他、不適切と判断する行為。

EZT　サービス規約

EZTサービス規約（以下「本規約」といいます。）は、テクノホライゾン株式会社（以下、「テクノホライゾン」といいます。）が提供するビデオ会議サービス（以下「本サービス」といいます。）の利用条件及び限定保証を定めたものです。
テクノホライゾンは、お客様が本規約に同意されることを条件にお客様に本サービスを提供します。
本サービスを利用いただく前に、本規約をお読みください。お客様による本サービス利用開始時もしくは利用契約締結時のいずれか早い時点で、本規約に同意いただいたものといたします。本サービス規約による拘束を受ける法的資格がない人物は、本サービスを利用できません。

本規約に従って、テクノホライゾンは本サービスを提供し、お客様は本サービスを受けるものとします。オンライン登録ページまたは注文フォーム（以下「注文フォーム」）を通じて本サービスを注文する場合には、注文フォームに、注文している本サービスに関する追加の規約や情報が含まれていることがあります。お客様が利用を決定した特定の本サービスに提供される上記追加規約に明示的に別段の定めがある場合を除き、上記追加規約は本規約により、当該本サービスのお客様による使用に関連して、本規約に組み込まれます。

システム要件：本サービスの使用には、互換性のあるテクノホライゾン製機器（旧株式会社エルモ社製機器を含む）が1台以上、インターネットアクセス（有料の場合あり）、および一定のソフトウェア（有料の場合あり）が必要であり、場合によってはアップデートまたはアップグレードを行う必要があります。本サービスの使用はハードウェア、ソフトウェア、およびインターネットアクセスに影響を与えるため、本サービスにアクセスし、使用するためのお客様の権限がこれらの要素の性能に左右される可能性があります。高速インターネットアクセスが推奨されます。お客様は、上記システム要件（変更される場合あり）がお客様の責任であることを承認し、これに同意するものとします。

1.定義

本規約には以下の定義が適用されます。
「本サービス」とは、テクノホライゾンが提供するビデオ会議サービスを意味します。
「Zoom」とは、Zoom Video Communications, Inc.を意味し、テクノホライゾンは本サービスの提供の一部をZoomに委託しています。

「テクノホライゾン関係者」とは、テクノホライゾン、Zoom社、テクノホライゾンの再委託先（再々委託先を含む）およびそれらの事業体の役員、従業員、代理人を意味します。
「エンドユーザー」とは、本サービスを利用するホストまたは参加者を意味します。
「ホスト」とは、ミーティングを主催する権利をお客様から与えられている、お客様の指定の個人を意味します。ホストは無制限の数のミーティングを開催できますが、1度に開催できるミーティングは1つのみです。ホストの登録情報は、ホストとして割り当てられた個人以外の人物によって共有したり使用したりすることはできません。
「参加者」とは、本サービスにアクセスまたは本サービスを使用するホスト以外の個人を意味します。
「コンテンツ」とは、ファイル、チャットログ、トランスクリプトなど、本サービスのお客様の使用を通じて直接提供される「セッション中」の情報、およびサービスの使用中にお客様がアップロードする可能性のあるその他の情報です。テクノホライゾンは、本サービスの提供に関連してのみお客様のコンテンツを使用します。テクノホライゾンはその他の目的でお客様のコンテンツを監視、販売、または使用することはありません。
「初期登録期間」とは、注文フォームに明記されている本サービスの初期登録期間を意味します。
「更新期間」とは、注文フォームに明記されている初期登録期間または別の更新期間の後に開始される本サービスのための、登録更新期間を意味します。

2.サービス

2.1. テクノホライゾンは、（a）本サービス用設備等の故障により保守を行う場合、（ｂ）運用上又は技術上の理由でやむを得ない場合、（ｃ）その他天災地変等不可抗力により本サービスを提供できない場合などに、お客様への事前の通知又は承諾を要することなく、本サービスの提供を中断することができるものとします。なお、本サービスを提供できなかったことに関してお客様又はその他の第三者が損害を負った場合であっても、テクノホライゾンは一切責任を負いません。

2.2. テクノホライゾンは、独自の裁量権により予告なく、本サービスの機能の変更を行う場合があります。

2.3. テクノホライゾンは、契約期間中にテクノホライゾンが一般的に提供する本サービスの標準的なアップデートを提供するものとします。

2.4. 本サービスの提供の一部をZoomに委託しています。Zoomのサービス、および、機能等の変更・障害については、Zoomにて対応を行い、テクノホライゾンは一切責任を負いません。

3.サービスの使用と責任

お客様は、本規約に従うことを条件として、本サービスを使用することができます。お客様およびお客様のエンドユーザーによる本サービスの使用については、お客様が単独で責任を負うものとし、お客様および各エンドユーザーは、本規約および本サービスの使用に関連するすべての法律 (記録、知的財産、プライバシー、および輸出管理に関する法律を含みますが、これらに限定されません) を遵守するものとします。

a.登録情報: お客様及びお客様のエンドユーザーは、本サービスの使用に際し、登録情報（名前・住所・電話番号・メールアドレス・ユーザＩＤとパスワード等）を提供していただきます。お客様は当該情報が正確であることに同意するものとします。また、お客様は、ユーザー名とパスワードの設定を求められることがあります。お客様は、そのユーザー名とパスワードのセキュリティを維持する責任を全て持ち、その情報をあらゆる第三者に開示しないことに同意します。
b.コンテンツ: お客様は、本サービスの利用において、お客様が送信または送信したコンテンツ及びお客様が表示またはアップロードしたコンテンツに関連するすべての法律の遵守について、単独で責任を負うことに同意するものとします。お客様は、お客様がコンテンツを本サービスにアップロードする権利を有し、当該使用が第三者の権利を侵害または侵害しないことを表明し、保証するものとします。いかなる状況においても、テクノホライゾンは (a) 本サービスの使用中に送信または閲覧されたコンテンツ、 (b) コンテンツの誤りまたは脱落、または (c) コンテンツの使用、アクセス、またはアクセス拒否の結果として生じたいかなる種類の損失または損害に対して、一切責任を負いません。テクノホライゾンは、コンテンツの内容については一切の責任を負いませんが、本規約の規定や法律に違反していることが判明した場合には、お客様に通知することなく、いつでもコンテンツを削除することができるものとします。お客様は、お客様がサービスを通してまたはサービス上に提出、投稿または表示するコンテンツへの著作権と他の権限の所有権を保持します。
c.録音・録画: お客様は、録音および録画に関する法律をすべて遵守するものとします。ホストはミーティングを録画・録音することができます。本サービスを利用することにより、お客様は、お客様が参加したすべてのミーティングの録画がテクノホライゾンのシステムに保存されている場合には、その録画・録音の保存に同意したものとみなされます。なお、録画・録音が有効になった場合、通知（視覚的な表示など）が届くため、録画・録音に同意しない参加者は、ミーティングから退出できます。
d.禁止事項: お客様は、以下の目的で本サービスを使用しないこと、および以下の目的を有するエンドユーザーに本サービスを使用することを許可しないことに同意するものとします。(i) 本サービスのソースコードの修正、逆アセンブル、逆コンパイル、二次的著作物の作成、リバースエンジニアリング、またはその他の方法で本サービスのソースコードへのアクセスを試みること、(ii) 故意または過失により、テクノホライゾンのネットワーク、お客様のアカウント、または本サービスを濫用、妨害、妨害するような方法で本サービスを使用すること、(iii) 本サービスを使用して、詐欺等の違法な行為を行うこと、または違法な行為を誘発する行為を行うこと、(iv)第三者の知的財産権その他の権利を侵害するおそれのある資料を本サービスを通じて送信する行為を行うこと、(v) 競合する製品やサービスの構築やベンチマークを行う行為、または本サービスの機能、機能、グラフィックをコピーする行為を行うこと、(vi) 本サービスを使用して、嫌がらせ、中傷、脅迫、わいせつ、淫らな内容、あるいは当事者の知的財産権を侵害するなどの意味で違法で、民事責任を生じさせるか、または適用される法律または規制の下で刑事犯罪を構成する可能性のある行為を構成または助長するメッセージまたは素材を通信すること、(vii) 本サービスのパフォーマンスに悪影響を与える、もしくは悪影響を与えることを意図した、もしくは意図したソフトウェア、コンテンツ、コードをアップロードしたり、送信したりすること、または、テクノホライゾンの他のハードウェア、ソフトウェア、ネットワーク、または他のサービス利用者に悪影響を与える、もしくは意図した、もしくは他のハードウェア、ソフトウェア、ネットワークから情報やデータを抽出することを意図した、もしくは目的とした、ソフトウェア、コンテンツ、コードをアップロードしたり、送信すること、(ix) 迷惑メール防止法、輸出管理法、プライバシー法、テロリズム対策法、音声・映像記録の対象者の同意を必要とする法律を含むがこれらに限定されない適用法に違反する方法で本サービスを利用すること。
e.使用上の制限: お客様は、事前にテクノホライゾンから書面による承諾をえた場合を除き、本サービスまたは本サービスが生成したレポートやデータをいかなる目的においても、再現、転売または配布することはできません。お客様は第三者に対し、お客様が購入したサービスの使用、サービスから入手したコンテンツ（お客様が作成したコンテンツを除く）のウェブサイトへの表示または公開、サービスからの収益生成、あるいはサービスに類似したサービスや製品の開発、生産または宣伝への利用を、提案または行わせないことに同意します。

4.エンドユーザーに対する義務

お客様は、お客様のアカウントを通じて本サービスにアクセスまたは使用するすべてのエンドユーザーの行為に責任を負い、当該エンドユーザーが本規約を遵守することを保証することに同意するものとします。テクノホライゾンは、エンドユーザーの違反行為に対しては責任も義務も一切負いません。お客様が何らかの理由により本サービスの使用に関連してエンドユーザーの本規約違反を認識した場合には、テクノホライゾン（052-811-5133）にご連絡ください。テクノホライゾンは、知り得た苦情および違反をすべて調査し、警告、内容の削除、アカウントおよび/またはユーザープロフィールの終了などを含め（ただしこれらに限定されない）、適切と思われる措置を講じます。いかなる事情があっても、テクノホライゾンは本サービスの使用中に閲覧されたデータまたはその他の内容に対して一切義務を負いません。上記事情には、かかるデータや内容における誤りや脱落、および、何らかのデータや内容を使用した、これらにアクセスした、もしくはこれらへのアクセスを拒否した結果として発生したあらゆる損失または損害などが含まれますがこれらに限定されません。

5.コンテンツに対するテクノホライゾンの義務

テクノホライゾンは、業界標準に従って、コンテンツの不正な開示やアクセスを防止するために、適切な物理的および技術的な保護手段を維持します。テクノホライゾンは、コンテンツへの不正アクセスを認識した場合、お客様に通知します。テクノホライゾンは、(a) 本規約およびプライバシーポリシーに定められている場合、(b) お客様の許可または指示があった場合、(c) 本規約に基づく義務を履行するために必要な場合、(d) 法律で定められている場合を除き、コンテンツをアクセス、閲覧、処理することはありません。テクノホライゾンは、コンテンツに関して、その他の義務を負わないものとします。

6.適格性

お客様は、お客様ご自身が16歳以上であり、かつ本規約に定める規定、条件、義務、主張、表明および保証を履行できる権限と法的資格、および本規約を遵守できる能力と法的資格を十分に備えていることを認めるものとします。お客様が16歳未満であるか、またはその他の理由で不適格であるとテクノホライゾンが判断した場合、お客様のアクセスは予告なしに終了することがあります。

7.本サービスの申し込み

本サービスの利用申込は、テクノホライゾン又はテクノホライゾンパートナー所定の申込書による方法とします。本サービスは、基本的に年間契約です。契約期間は、1年間、2年間、3年間、4年間、5年間のいずれかから選択できます。本サービスは、テクノホライゾンとお客様との間で別段の定めをしない限り、更新前の契約期間と同一の期間、同内容で自動的に更新されます。お客様は、申し込み月末日から10営業日前までに申込書をもって、テクノホライゾン又はテクノホライゾンパートナーへ通知すると、申し込み月の翌月初日から本サービスの利用が開始できます。申し込み月末日から10営業日前までを過ぎてからの申し込みは、申し込み月の翌々月初日から本サービスの利用が開始できます。

8.変更と取り消し

お客様のクレジットカード、またはお客様が選択してテクノホライゾンが承認したその他の支払いメカニズム（「お客様のアカウント」）に対して、サービス料および税金、セットアップ料、登録料、お客様のアカウントに関連するその他の料金を含む、本サービスにかかるすべての料金をテクノホライゾンが請求できることに、お客様は同意するものとします。テクノホライゾンは、無料サービスから有料サービスへの変更、および以前は無料で提示されていた本サービスに対する料金を含む価格を、いつでも変更できます。ただし、テクノホライゾンはお客様に対して、事前にその旨を通知し、テクノホライゾンが本サービスの価格を変更する場合にはお客様のアカウントを終了できる機会を提供するものとし、以前は無料であった本サービスについては、お客様が適用される料金について通知を受けていない、およびかかる料金の支払いに同意していない限り、課金しないものとします。テクノホライゾンがお客様のアカウントを通じて本サービスにかかる料金を回収できない場合には、テクノホライゾンがかかる料金をお客様から徴収するのに必要とみなされるその他の手続を取ること、およびかかる徴収活動に関連してテクノホライゾンが支出したあらゆる費用（徴収料、訴訟費用、弁護士費用を含む）についてはお客様が負担することに、お客様は同意するものとします。支払い期限が過ぎても支払われない料金に対して、テクノホライゾンは1か月あたり5%の利息または法律で許可されている最高額の利息のいずれかを徴収できることに、お客様は同意するものとします。登録はいつでもキャンセルできます。登録をキャンセルすると、追加のサービス利用期間の料金は請求されず、サービスは当初の登録期間終了時まで継続されます。ただし、登録をキャンセルした場合であっても、すでに支払ったサービス料については返金されません。

9.契約終了

9.1. お客様が、契約更新を希望されない場合、契約期間満了月の前月末日までに解約申込書をもって、テクノホライゾン又はテクノホライゾンパートナーへ通知すると契約期間の満了日をもって本サービスは終了します。

9.2. お客様が本規約のいずれかの規定を遵守できない場合、テクノホライゾンは本サービスの提供を直ちに終了します。

9.3. テクノホライゾンは、お客様が事前に支払った料金は、いかなる理由があっても返金いたしません。

9.4. 第1条および第3条から第21条までは、本サービス提供終了後も有効に存続するものとします。

10.本サービスの支払方法

10.1. お客様は、本サービスの料金として、利用料を支払うものとします。本サービスの料金は、テクノホライゾン又はテクノホライゾンが提示する見積によります。

10.2. 本サービスの初期費用、および利用料の支払期限は、利用開始月及び利用更新月の翌月末日までに支払うものとします。

10.3. テクノホライゾンが指定する金融機関口座への振込による方法
振込手数料は、お客様の負担とします。振込期限が金融機関の休業日にあたる場合前営業日までに振込むものとします。振込手数料が差し引かれた振込があった場合は、差し引かれた振込手数料相当額を請求いたします。

10.4. 支払期限から10営業日が経過した時点でお客様からの利用料金のお支払いを確認できない場合、テクノホライゾンはお客様に対するサービス提供を停止します。

11.知的財産権

本サービスに含まれるすべての財産権、ならびに、本サービスに関連する、または表示される、あらゆる商品名、商標、サービスマーク、ロゴ、およびドメイン名に含まれるすべての財産権は、Zoom社またはテクノホライゾンに帰属します。書面により明示的な同意を得ることなく、EZTマーク、またはELMOのその他の財産情報（画像、テキスト、ページレイアウト、フォームを含む）を構成したり、構成技術を利用してこれらを含めたりしないようにしてください。テクノホライゾンから書面による明示的な同意を得ることなく、EZTマークを利用したメタタグやその他の「隠しテキスト」を使用しないようにしてください。

12.著作権

いかなる方法によっても、著作権のある資料、商標、肖像権またはその他の財産権を、これらの財産権の所有者から事前に書面にて同意を得ることなく、掲示、変更、流通または再生しないようにしてください。他の関係者の著作権を侵害したことが疑われるエンドユーザーがいれば、テクノホライゾンはそのエンドユーザーに対して本サービスへのアクセスを拒否することができます。また、お客様の著作権が侵害されていると思われる場合は、テクノホライゾンまで通知ください。

13.再委託

お客様は、テクノホライゾンが本サービスの提供業務の一部を第三者に再委託する場合があることを了承するものとします。なお、この再委託には、再委託先から更に業務を委託する再々委託を含むものとします。お客様は、テクノホライゾンが委託に必要な範囲で、再委託先に対しお客様およびお客様のエンドユーザーの登録情報を提供することに同意します。

14.輸出制限

お客様は、本サービスまたはその一部が、米国の輸出管理法およびその他の適用可能な国の輸出管理および貿易制裁法（以下「輸出管理および制裁法」といいます）の対象となる可能性があることを認めます。お客様、およびエンドユーザーは、適用可能な輸出管理または貿易制裁の法律または法令に反して、本サービスの一部または関連する技術情報もしくは技術資料を、直接的または間接的に、アクセス、使用、輸出、再輸出、転用、譲渡、開示することはできません。お客様は、以下を表明し、保証するものとします。(i) お客様及びお客様のエンドユーザーが、米国の貿易制裁またはその他の重大な貿易制限の対象となる国または地域（キューバ、イラン、北朝鮮、シリア、クリミアを含みますが、これらに限定されません）の市民ではなく、その国または地域内に所在していないこと、 (ii) お客様およびお客様のエンドユーザーは、米国政府の取引禁止対象者リスト（米国財務省の特別指定国⺠と禁⽌対象者リスト、制裁回避者、商務省輸出権利剥奪者リスト、エンティティリスト（米製品輸出禁止対象企業）、未検証エンドユーザーリスト、国務省核拡散違反関係者リストを含みますが、これらに限定されません）に記載されていないこと、(iii) お客様またはお客様のエンドユーザーが作成または提出したコンテンツは、輸出管理法に基づく開示、転送、ダウンロード、輸出または再輸出の制限の対象とならないこと。お客様は、単独で輸出管理法を遵守し、当該法律の変更を監視する責任があります。

15.高リスクな使用禁止

本サービスは、フェイルセーフ管理を必要とする危険な環境（核施設の稼働、航空機の航行/通信システム、航空管制、生命維持システム、兵器システムを含むがこれらに限定されない）での使用を目的として設計または認可されたものはありません。本サービスは、高リスク環境で使用するものではありません。

16.差し止めによる救済

本規約に反した本サービスの使用、本サービスに関連する技術情報もしくは資料の譲渡、サブライセンス、複製、開示は、テクノホライゾン関係者に対して、取り返しのつかない損害を招く恐れがあり、そのような状況が発生した場合、テクノホライゾン関係者には、保証金やその他の担保を供託することなく、衡平法上の救済（差し止めによる恒久的な予備救済を含むがこれに限定されない）を受ける権利があることを、お客様は認めるものとします。

17.保証なし

本サービスは「現状有姿」で提供され、テクノホライゾン関係者は、明示的または暗示的なあらゆる種類の保証（市場性の保証、特定用途への適合性、非侵害を含むがこれらに限定されない）をすべて明白に放棄することを、お客様は理解して同意するものとします。お客様が本サービスに満足できない場合の唯一の救済策は、いつでも本サービスの使用を中止し、契約解除することです。テクノホライゾン関係者は、本サービスの使用により発生する可能性のある結果に関して、本サービスを通じて得られる何らかの情報の正確性または信頼性に関して、または、本サービスがユーザーの要求事項を満たす、または中断しない、適時である、安全である、もしくは誤りのない状態であることを、一切保証も表明もいたしません。本サービスのご利用は、お客様の責任において行われるものとします。あらゆる材料およびデータのダウンロード、または本サービスの利用を通じた取得は、お客様ご自身の判断と責任において行われるものとします。本サービスを使用した結果としてお客様が被る損害は、お客様ご自身の責任となります。本サービスの使用または性能に起因するすべてのリスクは、お客様が負うものとします。テクノホライゾンは、ユーザーの情報およびユーザー間の通信内容に対しては一切責任を負いません。本サービスの使用による特定の結果については、テクノホライゾンは保証できず、また約束もいたしません。お客様自身の責任において使用するものとします。

18.補償

お客様が本サービスを使用したことにより、お客様が本規約に違反したことにより、または、お客様またはエンドユーザーが第三者の知的財産またはその他の権利を侵害したことにより発生した一切の損害は、お客様の責任において賠償するものとし、テクノホライゾン関係者が第三者より何らかの請求を受けた場合、お客様はテクノホライゾン関係者が被った損害を補償し、又は、かかる損害の負担を免れさせるものとします。

19.賠償責任の制限

適用法の許す最大限の範囲において、テクノホライゾン関係者はいかなる場合も、本サービスの使用、本サービスの使用不能、技術サービスもしくはその他のサポートサービスの提供、またはかかるサービスの不提供により発生した、特殊損害、偶発的損害、間接的損害、懲罰的損害、または結果的損害など（営業利益の損失、営業妨害、営業情報の損失、その他の経済損失または損害が含まれるがこれらに限定されない）に対して、不法行為（過失を含む）、契約またはその他の法理論において発生したか否かに関係なく一切責任を負いません。いかなる場合でも、本規約により、または本規約に関連して発生した何らかの申し立てに対する、テクノホライゾン関係者が負担する賠償責任の総額は、かかる申し立てを引き起こした事象または状況が発生する前の12か月間に、本サービスに対してお客様が実際に支払った金額（支払った場合）に限られます。

20.プライバシーおよびその他のポリシー

本サービスの利用には、ELMOのプライバシーポリシー（https://elmo-play.com/privacy.html）が適用されます。プライバシーポリシーは、本規約に組み込まれます。さらに、お客様は、テクノホライゾンがマーケティング情報やお客様のサービス利用に関連した情報を電子メールやその他の方法で連絡する場合があることを理解し、これに同意するものとします。

21.雑則

21.1 法律および法廷地の選択本規約は日本法に準拠し、同法に基づいて解釈されるものとします。本規約に関連して生じる一切の紛争は名古屋地方裁判所を専属的合意管轄裁判所とします。

21.2 権利放棄および可分性一方の当事者が、本規約による自己の権利を履行できない場合、または本規約のいずれかの条項を履行できない場合であっても、それは、かかる権利の放棄、またはかかる条項の履行能力の喪失とはみなされません。本規約のいずれかの条項が、管轄裁判所により、違法、無効または履行不能とみなされた場合、かかる条項は、元の条項と可能な限り同様の経済効果を達成できるように変更され、本規約の残りの部分は引き続き完全に効力を維持するものとします。

21.3 一般規定本規約は、本規約の主題に関する両当事者間における完全な了解事項および合意を構成するものであり、かかる主題に関する両当事者間の事前のあらゆる了解事項および合意に優先するものです。ただし、お客様またはお客様の会社が別途の契約書を取り交わした場合、またはお客様による本サービスの使用に関係する別途の契約書について触れている注文フォームにお客様が署名した場合には、本規約のいずれかの条項が上記契約書の条件に矛盾する範囲において、上記契約書が規制するものとします。テクノホライゾンは独自の裁量により、本規約の条件を変更または補完することを選択できます。本規約に重大な変更が加えられる場合、変更の１０営業日前までに、テクノホライゾンはウェブサイト上に変更内容を掲示することで、その旨をお客様に通知します。当該変更にご同意いただけない場合には、本サービスの使用を中断することになります。上記の10営業日が経過した後も本サービスの使用を継続される場合には、本規約の条件に対する当該変更をご承諾いただいたものとみなされます。特定のサービスに参加される場合に、ソフトウェアのダウンロードおよび追加規約への同意を要求される旨の通知をお客様にお送りする場合があります。上記追加規約に明示的に別段の定めがある場合を除き、上記追加規約は本規約により、本規約に組み込まれます。本規約は日本語で作成されており、この日本語版が全ての点で規制しているのであって、本規約の非日本語版は便宜上の目的でのみ存在するものです。

■ General

When using this product and its services, please use it in accordance with the terms and conditions set forth by TECHNO HORIZON Co., Ltd. (hereinafter referred to as the Company) (hereinafter referred to as the “Terms and Conditions”).

Users can install applications created by third parties using ELMO Play at their own risk. We are not liable for any trouble, loss or damage, such as failure of this product due to the application, leakage of information, acts that violate laws, laws or regulations.
-Each application preinstalled in this product cannot be updated because it has selected the most appropriate version for the system requirements.
Users should store account information securely and should not share it with others. It is also prohibited to collect personal data (including account name) of other service users through ELMO Play.

Additional information including that relating to promotional and commercial uses may be obtained from MPEG-LA, LLC.
This product is permitted for personal and non-commercial use only.

■ Governing law, jurisdiction

EZT TERMS OF SERVICE

EZT TERMS OF SERVICE (“Terms of Service”) stipulates the conditions of use and the limited warranty on a video conferencing service (“Service”) provided by TECHNO HORIZON Co.,Ltd (“TECHNO HORIZON”).
TECHNO HORIZON provides the Service to you on the condition that you agree to the Terms of Service.
Please read the Terms of Service carefully before using this Service, It is assumed that you have agreed the Terms of Service when you start using this Service or conclude the contract, whichever comes first.
Any person who is not legally eligible to be bound by the Terms of Service may not use the Service.

TECHNO HORIZON will provide the Service, and you may access the Service, in accordance with the Terms of Service. If You order Service through an on-line registration page or an order form (each an "Order Form"), the Order Form may contain additional terms and conditions and information regarding the Service you are ordering. Unless otherwise expressly set forth in any such additional terms and conditions applicable to the specific Service which You choose to use, those additional terms are hereby incorporated into the Terms of Service in relation to Your use of the Service.

System Requirements. Use of the Service requires one or more compatible devices, Internet access (fees may apply), and certain software (fees may apply), and may require obtaining updates or upgrades from time to time. Because use of the Service involves hardware, software, and Internet access, Your ability to access and use the Service may be affected by the performance of the factors. High speed Internet access is recommended. You acknowledge and agree that such system requirements, which may be changed from time to time, are Your responsibility.

1.DEFINITIONS.

The following definitions will apply in the Terms of Service. “Service” means the video conferencing service provided by TECHNO HORIZON.
“Zoom” mean Zoom Video Communications, Inc. and TECHNO HORIZONO entrusts part of the provision of the Service to Zoom.
“TECHNO HORIZON partner” means TECHNO HORIZON Co.,Ltd, Zoom Video Communications, Inc., TECHNO HORIZON’s subcontractors (including re-subcontractors) and the officers, employees and agents.
"End User” means a Host or Participant who use the Service. “Host” means your designated individual who has been given the right to host a meeting. Host can have an unlimited number of meetings, but only one at a time. Host registration information may not be shared or used by anyone other than the individual assigned as the host. “Participant” means an individual other than Host who accesses or uses the Service. “Content” means “in-session” information provided directly through your use of the Service such as files, chat logs, transcripts, etc. and other information that you may upload while using the Service. TECHNO HORIZON will only use your Contents in connection with the provision of this Service. TECHNO HORIZON does not monitor, sell or use your Contents for any other purpose.
“Initial Registration Period” means the initial registration period of the Service specified in the order form.
"Renewal Term" means registration renewal period for the Service that begins after the initial registration period or another renewal period specified in the order form.

2.SERVICE.

2.1. TECHNO HORIZON Co., Ltd. (a) when doing maintaining due to failure of facility or equipment for this service, (b) when it is unavoidable due to operational or technical reasons, (c) when providing this service is interfered due to other force majeure such as natural disasters, can suspend the provision of this service without prior notice or consent to the customer. TECHNO HORIZON will not be held responsible for any damages caused by the customer or other third parties regarding the failure to provide this service.

2.2. TECHNO HORIZON may, in its sole discretion, discontinue the Service or modify the features of the Service from time to time without prior notice.

2.3. TECHNO HORIZON will provide standard updates to the Service that are made generally available by TECHNO HORIZON during the term.

2.4. Part of the provision of this service is outsourced to Zoom. Zoom will handle changes and failures in Zoom services and functions, and TECHNO HORIZON will not be held responsible.

3.USE OF SERVICE AND YOUR RESPONSIBILITIES.

You may only use the Service pursuant to the Terms of Service. You are solely responsible for Your and Your End Users’ use of the Service and shall abide by, and ensure compliance with, all Laws in connection with the Terms of Service and Your and each End User’s use of the Service, including but not limited to Laws related to recording, intellectual property, privacy and export control.

a.Registration Information.: You and Your End Users are required to provide information (Names, Address, Telephone number, Mail address, User ID and Password, etc.) in order to use the Service. You agree that any such information shall be accurate. In case you are asked to set a user name and password, you are entirely responsible for maintaining the security of the user name and password and agree not to disclose such to any third party.
b.Your Content.: You agree that You are solely responsible for the content sent or transmitted by You or displayed or uploaded by You in using the Service and for compliance with all Laws pertaining to the Content. You represent and warrant that You have the right to upload the Content to the Service and that such use does not violate or infringe on any rights of any third party. Under no circumstances will TECHNO HORIZON be liable in any way for any (a) Content that is transmitted or viewed while using the Service, (b) errors or omissions in the Content, or (c) any loss or damage of any kind incurred as a result of the use of, access to, or denial of access to Content. Although TECHNO HORIZON is not responsible for any Content, TECHNO HORIZON may delete any Content, at any time without notice to You, if TECHNO HORIZON becomes aware that it violates any provision of the Terms of Service, or any law. You retain copyright and any other rights You already hold in Content which You submit, post or display on or through, the Service.
c.Recordings.: You are responsible for compliance will all recording laws. The host can record meetings. By using the Service, you are giving TECHNO HORIZON consent to store recordings for any or all meetings that you join, if such recordings are stored in our systems. As you will receive a notification (visual or otherwise) when recording is enabled, you or any participant can choose to leave the meeting if not consent to being recorded.
d.Prohibited Use.: You agree that You will not use, and will not give permission of using the Service to End User having the purposes to: (i) modify, disassemble, decompile, prepare derivative works of, reverse engineer or otherwise attempt to gain access to the source code of the Service; (ii) knowingly or negligently use the Service in a way that abuses, interferes with, or disrupts TECHNO HORIZON’s networks, Your accounts, or the Service; (iii) engage in activity that is illegal such as fraud or perform an act that induces an illegal act, (iv) transmit through the Service any material that may infringe the intellectual property or other rights of third parties; (v) build or benchmark a competitive product or service, or copy any features, functions or graphics of the Service; or (vi) use the Service to communicate any message or material that is harassing, libelous, threatening, obscene, indecent, would violate the intellectual property rights of any party or is otherwise unlawful, that would give rise to civil liability, or that constitutes or encourages conduct that could constitute a criminal offense, under any applicable law or regulation; (vii) upload or transmit any software, Content or code that does or is intended to harm, disable, destroy or adversely affect performance of the Service in any way or which does or is intended to harm or extract information or data from other hardware, software or networks of TECHNO HORIZON or other users of Service; (ix) use the Service in violation of any TECHNO HORIZON policy or in a manner that violates applicable law, including but not limited to anti-spam, export control, privacy, and anti-terrorism laws and regulations and laws requiring the consent of subjects of audio and video recordings.
e.Limitations on Use.: You may not reproduce, resell or distribute the Service or any reports or data generated by the Service for any purpose, except with the prior written consent of TECHNO HORIZON. You may not offer or enable any third parties to use the Service purchased by You, display on any website or otherwise publish the Service or any Content obtained from a Service (other than Content created by You) or otherwise generate income from the Service or use the Service for the development, production or marketing of a service or product substantially similar to the Service.

4.RESPONSIBILITY FOR END USERS.

You are responsible for the activities of all End Users who access or use the Service through your account and you agree to ensure that any such End User will comply with the Terms of Service. TECHNO HORIZON assumes no responsibility or liability for violations by End Users. If You become aware of any violation of the Terms of Service in connection with use of the Service by End User, please contact TECHNO HORIZON. TECHNO HORIZON may investigate any complaints and violations that come to its attention and may take any (or no) action that it believes is appropriate, including, but not limited to issuing warnings, removing the content or terminating accounts and/or User profiles. Under no circumstances will TECHNO HORIZON be liable in any way for any data or other content viewed while using the Service, including, but not limited to, any errors or omissions in any such data or content, or any loss or damage of any kind incurred as a result of the use of, access to, or denial of access to any data or content.

5.TECHNO HORIZON OBLIGATIONS FOR CONTENT.

TECHNO HORIZON will maintain reasonable physical and technical safeguards to prevent unauthorized disclosure of or access to Content, in accordance with industry standards. TECHNO HORIZON will notify You if it becomes aware of unauthorized access to Content. TECHNO HORIZON will not access, view or process Content except (a) as provided for in the Terms of Service and in TECHNO HORIZON’s Privacy Policy; (b) as authorized or instructed by You, (c) as required to perform its obligations under the Terms of Service; or (d) as required by Law. TECHNO HORIZON has no other obligations with respect to Content.

6.ELIGIBILITY.

You affirm that You are at least 16 years of age and are otherwise fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in the Terms of Service, and to abide by and comply with the Terms of Service. Your access may be terminated without warning if we believe that You are under the age of 16 or are otherwise ineligible.

7.APPLICATION FOR THIS SERVICE.

To apply for this service, use the application form specified by TECHNO HORIZON or an TECHNO HORIZON service partner. This service is basically an annual contract. You can choose the contract period from 1 year, 2 years, 3 years, 4 years, and 5 years. Unless otherwise specified between TECHNO HORIZON and the customer, this service will be automatically renewed for the same period and content as the contract period before renewal. Customers can start using this service from the first day of the month following the application month by notifying TECHNO HORIZON or TECHNO HORIZON partners with the application form 10 business days before the end of the application month. If you apply after 10 business days from the end of the application month, you can start using this service from the first day of the next month following the application month.

8.CHARGES AND CANCELLATION.

You agree that TECHNO HORIZON may charge to Your credit card or other payment mechanism selected by You and approved by TECHNO HORIZON ("Your Account") all amounts due and owing for the Service, including taxes and service fees, set up fees, subscription fees, or any other fee or charge associated with Your Account. TECHNO HORIZON may change prices at any time, including changing from a free service to a paid service and charging for Service that were previously offered free of charge; provided, however, that TECHNO HORIZON will provide you with prior notice and an opportunity to terminate Your Account if TECHNO HORIZON changes the price of a Service to which you are subscribed and will not charge you for a previously free Service unless you have been notified of the applicable fees and agreed to pay such fees. You agree that in the event TECHNO HORIZON is unable to collect the fees owed to TECHNO HORIZON for the Service through Your Account, TECHNO HORIZON may take any other steps it deems necessary to collect such fees from You and that You will be responsible for all costs and expenses incurred by TECHNO HORIZON in connection with such collection activity, including collection fees, court costs and attorneys' fees. You further agree that TECHNO HORIZON may collect interest at the lesser of 5% per month or the highest amount permitted by law on any amounts not paid when due. You may cancel your subscription at any time. If you cancel, you will not be billed for any additional terms of service, and service will continue until the end of the current Subscription Term. If you cancel, you will not receive a refund for any service already paid for.

9.TERMINATION.

9.1. If the customer does not wish to renew the contract, the service will be terminated on the expiration date of the contract period if the cancellation application is notified to TECHNO HORIZON or an TECHNO HORIZON partner by the end of the month before the contract period expiration month.

9.2. If you fail to comply with any of these Terms, TECHNO HORIZON will immediately discontinue the Services.

9.3. TECHNO HORIZON will not refund any prepaid fees for any reason.

9.4. Articles 1 and 3 to 21 shall continue to be valid even after the termination of this service.

10.PAYMENT METHOD FOR THIS SERVICE.

10.1. The customer shall pay the usage fee as the fee for this service. The price of this service is based on the estimate provided by TECHNO HORIZON or TECHNO HORIZON partner.

10.2. The initial cost of this service and the usage fee shall be paid till the end of the month following the usage start month or usage renewal month.

10.3. Method by Method by transfer to a financial account designated by TECHNO HORIZON The transfer fee will be borne by the customer. If the transfer deadline falls on a holiday of a financial institution, the transfer shall be made by the previous business day. If the transfer fee is deducted, the amount equivalent to the deducted transfer fee will be charged.

10.4. If we cannot confirm the payment of the usage fee from the customer within 10 business days from the payment deadline, TECHNO HORIZON will stop providing the service to the customer.

11.PROPRIETARY RIGHTS.

TECHNO HORIZON or Zoom retain ownership of all proprietary rights in the Service and in all trade names, trademarks, service marks, logos, and domain names associated or displayed with the Service. You may not frame or utilize framing techniques to enclose any EZT Marks, or other proprietary information (including images, text, page layout, or form) of EZT without express written consent. You may not use any meta tags or any other "hidden text" utilizing EZT Marks without TECHNO HORIZON’s express written consent.

12.COPYRIGHT.

You may not post, modify, distribute, or reproduce in any way copyrighted material, trademarks, rights of publicity or other proprietary rights without obtaining the prior written consent of the owner of such proprietary rights. TECHNO HORIZON may deny access to the Service to any End User who is alleged to infringe another party's copyright. Without limiting the foregoing, if You believe that Your copyright has been infringed, please notify TECHNO HORIZON.

13.SUBCONTRACTOR.

You are assumed to acknowledge that TECHNO HORIZON may subcontract part of the Business to a third party. In addition, this subcontracting shall include re-consignment to subcontract further business from the subcontractor. You agree that TECHNO HORIZON will, to the extent necessary, provide the subcontractor with registration information about you and your End Users.

14.EXPORT RESTRICTIONS.

You acknowledge that the Service, or a portion thereof, are subject to the Export Administration Regulations, 15 C.F.R. Parts 730-774, of the United States and may be subject to other applicable country export control and trade sanctions laws (“Export Control and Sanctions Laws”). TECHNO HORIZON will provide the U.S. export classification(s) applicable to its Service upon request. You and Your End Users may not access, use, export, re-export, divert, transfer or disclose any portion of the Service or any related technical information or materials, directly or indirectly, in violation of Export Control and Sanctions Laws. You represent and warrant that: (i) You and Your End Users (a) are not citizens of, or located within, a country or territory that is subject to U.S. trade sanctions or other significant trade restrictions (including without limitation Cuba, Iran, North Korea, Syria, and the Crimea region of Ukraine) and that You and Your End Users will not access or use the Service, or export, re-export, divert, or transfer the Service, in or to such countries or territories; (b) are not persons, or owned 50% or more, individually or in the aggregate by persons, identified on the U.S. Department of the Treasury’s Specially Designated Nationals and Blocked Persons List or Foreign Sanctions Evaders Lists; and (c) are not persons on the U.S. Department of Commerce’s Denied Persons List, Entity List, or Unverified List, or U.S. Department of State proliferation-related lists; (ii) You and Your End Users located in China, Russia, or Venezuela are not Military End Users and will not put TECHNO HORIZON’s Service to a Military End Use, as defined in 15 C.F.R. 744.21; (iii) no Content created or submitted by You or Your End Users is subject to any restriction on disclosure, transfer, download, export or re-export under the Export Control and Sanctions Laws; and (iv) You and Your End Users will not take any action that would constitute a violation of, or be penalized under, U.S. antiboycott laws administered by the U.S. Department of Commerce or the U.S. Department of the Treasury. You are solely responsible for complying with the Export Control and Sanctions Laws and monitoring them for any modifications.

15.NO HIGH RISK USE.

The Service are not designed or licensed for use in hazardous environments requiring fail-safe controls, including without limitation operation of nuclear facilities, aircraft navigation/communication systems, air traffic control, and life support or weapons systems. The Service shall not be used in any HIGH RISK environment.

16.INJUNCTIVE RELIEF.

You acknowledge that any use of the Service contrary to the Terms of Service, or any transfer, sublicensing, copying or disclosure of technical information or materials related to the Service, may cause irreparable injury to TECHNO HORIZON and TECHNO HORIZON Partner, and under such circumstances TECHNO HORIZON and TECHNO HORIZON partner will be entitled to equitable relief, without posting bond or other security, including, but not limited to, preliminary and permanent injunctive relief.

17.NO WARRANTIES.

YOU UNDERSTAND AND AGREE THAT THE SERVICE ARE PROVIDED "AS IS" AND TECHNO HORIZON AND TECHNO HORIZON PARTNER EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. IF YOU ARE NOT SATISFIED WITH THE SERVICE, YOUR ONLY REMEDY IS TO STOP USING THE SERVICE AND TERMINATE YOUR CONTRACT AT ANY TIME. TECHNO HORIZON MAKE NO WARRANTY OR REPRESENTATION REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE, REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE OR THAT THE SERVICE WILL MEET ANY USER'S REQUIREMENTS, OR BE UNINTERRUPTED, TIMELY, SECURE OR ERROR FREE. USE OF THE SERVICE IS AT YOUR SOLE RISK. ANY MATERIAL AND DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS AT YOUR OWN DISCRETION AND RISK. YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOU RESULTING FROM THE USE OF THE SERVICE. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SERVICE REMAINS WITH YOU. TECHNO HORIZON DOES NOT ASSUME ANY RESPONSIBILITY FOR RETENTION OF ANY USER INFORMATION OR COMMUNICATIONS BETWEEN USERS. TECHNO HORIZON CANNOT GUARANTEE AND DOES NOT PROMISE ANY SPECIFIC RESULTS FROM USE OF THE SERVICE. USE OF THE SERVICE IS AT YOUR OWN RISK.

18.INDEMNIFICATION.

You agree that any damage or loss caused by you or your End User breaching the Terms of Service and as a result infringing the intellectual property or other rights of a third party shall compensated at your own risk. In the event that TECHNO HORIZON and/or TECHNO HORIZON partner receives a request from a third party, you compensate for damages and loss suffered by TECHNO HORIZON and TECHNO HORIZON Partner or avoid the burden of such damages.

19.LIMITATION OF LIABILITY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TECHNO HORIZON AND TECHNO HORIZON PARTNER BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, EXEMPLARY OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS OR DAMAGE) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICE OR THE PROVISION OF OR FAILURE TO PROVIDE TECHNICAL OR OTHER SUPPORT SERVICE, WHETHER ARISING IN TORT (INCLUDING NEGLIGENCE) CONTRACT OR ANY OTHER LEGAL THEORY. IN ANY CASE, TECHNO HORIZON AND TECHNO HORIZON’S PARTNER’s MAXIMUM CUMULATIVE LIABILITY AND YOUR EXCLUSIVE REMEDY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE TERMS OF SERVICE WILL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE SERVICE (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE EVENT OR CIRCUMSTANCES GIVING RISE TO SUCH CLAIMS.

20.PRIVACY AND OTHER POLICIES.

Use of the Service is also subject to TECHNO HORIZON Privacy Policy (https://elmo-play.com/privacy.html). The Privacy Policy are incorporated into the Terms of Service. Additionally, You understand and agree that TECHNO HORIZON may contact You via e-mail or otherwise with information relevant to marketing and/or Your use of the Service.

21.MISCELLANEOUS

21.1. Choice of Law and Forum. The Terms of Service shall be governed by and construed under the laws of Japan. The Nagoya District Court shall be the exclusive agreement jurisdiction court for all disputes arising in connection with the Terms of Service.

21.2. Waiver and Severability. Failure by either Party to exercise any of its rights under, or to enforce any provision of, the Terms of Service will not be deemed a waiver or forfeiture of such rights or ability to enforce such provision. If any provision of the Terms of Service is held by a court of competent jurisdiction to be illegal, invalid or unenforceable, that provision will be amended to achieve as nearly as possible the same economic effect of the original provision and the remainder of the Terms of Service will remain in full force and effect.

21.3. General Provisions. The Terms of Service embody the entire understanding and agreement between the Parties respecting the subject matter of the Terms of Service and supersedes any and all prior understandings and agreements between the Parties respecting such subject matter, except that if You or Your company have executed a separate written agreement or you have signed an order form referencing a separate agreement governing your use of the Service, then such agreement shall control to the extent that any provision of the Terms of Service conflict with the terms of such agreement. TECHNO HORIZON may elect to change or supplement the terms of the Terms of Service from time to time at its sole discretion. TECHNO HORIZON will provide notice to You of any material changes to the Terms of Service by posting the changes on website within ten (10) business days of posting such changes. If You do not agree with the changes, You should discontinue using the Service. If You continue using the Service after such ten-business-day period, You will be deemed to have accepted the changes to the Terms of Service. In order to participate in certain Service, You may be notified that You are required to download software and agree to additional terms and conditions. Unless expressly set forth in such additional terms and conditions, those additional terms are hereby incorporated into the Terms of Service. The Terms of Service have been prepared in the Japanese Language and such version shall be controlling in all respects and any non-Japanese version of the Terms of Service is solely for accommodation purposes.
